This website is operated by 9402-5244 Quebec Inc., doing business as NorthStuds (“NorthStuds”, “we”, “us”, or “our”).
These Terms of Service (“Terms”) govern your access to and use of www.northstuds.com (the “Site”), including purchases made through the Site.
By accessing the Site, placing an order, or otherwise using our services, you agree to these Terms and to the policies referenced on the Site, including our Privacy Policy, Shipping Policy, and Return and Refund Policy.
If you do not agree with these Terms, you should not use the Site.
1. ONLINE STORE
Our online store is hosted by Shopify, which provides the e-commerce platform that allows us to offer and sell our products.
You must be legally capable of entering into a binding agreement in your jurisdiction in order to make a purchase from NorthStuds.
You may not use the Site, our services, or our products for any unlawful or unauthorized purpose.
2. PRODUCT INFORMATION
We make reasonable efforts to ensure that product descriptions, specifications, compatibility information, images, prices, and availability displayed on the Site are accurate and current.
However, errors or differences may occasionally occur. Product appearance, packaging, specifications, or manufacturer information may also change without notice.
Customers are responsible for reviewing product specifications and confirming that a product is appropriate for their vehicle, equipment, tire, track, surface, or intended application before installation or use.
Where installation instructions, safety instructions, torque specifications, manufacturer recommendations, or other technical requirements are provided, customers are responsible for following them.
3. PRODUCT INSTALLATION AND USE
Many products sold by NorthStuds are designed for specialized traction, vehicle, equipment, snowmobile, tire, track, footwear, or industrial applications.
Customers are responsible for selecting the appropriate product for their intended application and for ensuring proper installation and use.
Improper product selection, installation, modification, maintenance, or use may affect product performance, durability, and safety.
Where professional installation is recommended or appropriate, the customer should use a qualified installer.
NorthStuds is not responsible for damage resulting from improper installation, misuse, modification, abuse, neglect, or use of a product in an application for which it was not designed, except where applicable law provides otherwise.
Nothing in these Terms limits any warranty, right, or remedy that cannot legally be excluded or limited.
4. ORDERS
All orders are subject to product availability and payment authorization.
We reserve the right to refuse, limit, or cancel an order where reasonably necessary, including in cases of suspected fraud, unauthorized transactions, payment issues, incorrect customer information, product availability issues, or other circumstances that prevent us from fulfilling the order.
If NorthStuds cancels an order after payment has been processed, the applicable amount will be refunded to the original payment method.
An order confirmation acknowledges that we have received your order. It does not necessarily mean that the order has been accepted or shipped.
5. PRICES, CURRENCY, AND TAXES
Product prices are those displayed on the Site at the time the order is submitted, subject to correction of obvious technical or system errors and applicable law.
Prices may change without notice.
The applicable currency will be displayed on the Site or during checkout.
Applicable sales taxes are calculated according to the order destination and applicable tax requirements.
Payment must be successfully authorized before an order can be processed.
6. CANADA AND UNITED STATES FULFILLMENT
NorthStuds ships to customers in Canada and the United States.
Orders shipped to Canadian addresses are fulfilled from our warehouse in Quebec, Canada.
Orders shipped to United States addresses are fulfilled from our United States warehouse.
Customer orders are therefore normally fulfilled domestically within the country of delivery and are not shipped across the Canada–United States border.
As a result, NorthStuds customers are not normally subject to customs duties, import tariffs, or cross-border brokerage charges on their orders.
Applicable sales taxes may still apply based on the shipping destination.

7. SHIPPING AND DELIVERY
Shipping options, charges, estimated delivery times, restrictions, and other shipping conditions are described in our Shipping Policy.
Delivery dates and transit times are estimates unless specifically stated otherwise by the applicable carrier.
Customers are responsible for providing a complete and accurate shipping address.
If an incorrect or incomplete address results in a returned shipment, additional shipping or handling costs may apply.
NorthStuds is not responsible for carrier delays caused by weather, transportation disruptions, service interruptions, or circumstances outside our reasonable control, except where applicable law provides otherwise.
8. RETURNS, REFUNDS, AND EXCHANGES
Returns, refunds, exchanges, restocking fees, return shipping costs, and product eligibility requirements are governed by our Return and Refund Policy.
Products that have been installed, used, modified, damaged after delivery, or are otherwise no longer in new and resalable condition may not be eligible for return.
Nothing in our Return and Refund Policy limits rights or remedies available to consumers under applicable law.
9. ERRORS AND INACCURACIES
Occasionally, information on the Site may contain typographical errors, inaccuracies, or omissions relating to product descriptions, specifications, prices, availability, shipping charges, promotions, or other information.
We reserve the right to correct errors and update information at any time, subject to applicable consumer protection laws.
Where an error affects an order that has already been submitted, we will handle the order in accordance with applicable law and contact the customer where necessary.
10. CUSTOMER ACCOUNTS AND INFORMATION
You agree to provide current, complete, and accurate information when creating an account or placing an order.
You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.
Please contact us promptly if you believe your account has been accessed without authorization.
11. THIRD-PARTY SERVICES AND LINKS
The Site may contain links to third-party websites and may use services provided by third parties, including payment processors, shipping carriers, fulfillment providers, technology providers, and other service providers.
We are not responsible for the content, availability, terms, policies, or practices of third-party websites or services that are outside our control.
Your use of third-party services may be subject to their own terms and privacy policies.
12. INTELLECTUAL PROPERTY
Unless otherwise indicated, the content available on the Site, including text, graphics, logos, images, design elements, and other materials, is owned by or licensed to NorthStuds or its respective suppliers and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, publish, sell, commercially exploit, or otherwise use Site content without authorization, except as permitted by law.
Product names, trademarks, logos, and brands belonging to manufacturers or other third parties remain the property of their respective owners.
13. REVIEWS, FEEDBACK, AND SUBMISSIONS
If you submit reviews, comments, photographs, feedback, suggestions, or other content to NorthStuds, you confirm that you have the right to provide that content and that it does not violate applicable law or the rights of another person.
We may use, reproduce, display, and publish customer reviews, feedback, or submitted content for purposes reasonably related to operating and promoting NorthStuds, subject to applicable privacy and intellectual property laws.
We reserve the right to remove content that is fraudulent, unlawful, abusive, misleading, defamatory, infringing, or otherwise inappropriate.

16. WARRANTIES AND LIMITATION OF LIABILITY
Products sold by NorthStuds may be subject to manufacturer warranties and warranties or consumer rights provided by applicable law.
Nothing in these Terms excludes, restricts, or limits any warranty, liability, right, or remedy that cannot legally be excluded or limited.
To the maximum extent permitted by applicable law, NorthStuds will not be responsible for indirect, incidental, special, or consequential losses resulting from circumstances outside our reasonable control.
Any limitation of liability contained in these Terms applies only to the extent permitted by applicable law.
17. PRIVACY
Our collection, use, disclosure, retention, and protection of personal information are governed by our Privacy Policy.
18. CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes to our business, products, services, technology, or legal requirements.
The current version will be posted on this page with an updated “Last updated” date.
Changes apply from the date they are posted, except where applicable law requires otherwise.
19. SEVERABILITY
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.
20. GOVERNING LAW
These Terms and your use of the Site are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without limiting any mandatory consumer rights or protections that may apply to you based on your place of residence.
